TERMS OF USE, LICENSE, DISCLAIMER, AND LIMITATION OF LIABILITY

These Terms of Use ("Terms") govern access to and use of all websites, software, applications, scripts, source code, APIs, artificial intelligence tools, digital fabrication files, CAD/BIM content, computational models, datasets, visualizations, documentation, publications, research materials, frameworks, datasets, data, and all other digital products ("Products") made available by e-Architects.net, DLO LLC, Pablo Lorenzo-Eiroa, and their affiliates ("Company") such as working or related University Labs, or Universities curses or and studios which may have their terms of use.

By accessing, downloading, installing, copying, or using any Product, you agree to be legally bound by these Terms. If you do not agree, do not access or use the Products.

1. License

Unless otherwise stated, the Companies associated herein grants you a limited, non-exclusive, non-transferable, revocable license to temporarily download and use the Products solely for lawful personal, educational, evaluation, or promotional purposes.

This license does not transfer ownership of any intellectual property, nor it grants any permit no authorization to replicate, train, develop repositories, store, or copy by any format of the products published.

Except where expressly permitted, you may not:

  • sell or sublicense the Products;
  • redistribute the Products as your own work;
  • remove copyright notices;
  • misrepresent authorship;
  • use the Products in violation of applicable law;
  • use the Products to infringe intellectual property rights;
  • train any model;
  • train any dataset;
  • use for data repository;
  • use any data;
  • use any model for commercial purposes of any kinds;
  • use only for promotion of e-Architects.net and associated companies or representatives.

Commercial use may require separate written permission, agreement, authorization.

2. Intellectual Property (IP)

All Products, including software, source code, algorithms, AI models, datasets, graphics, architectural designs, computational workflows, documentation, publications, trademarks, logos, trade dress, and website content remain the exclusive property of e-Architects, DLO LLC, or their respective licensors or respective authors noted, including IP research related to Universities, Labs courses and studios. Please contact e-Architects, DLO LLC, if any misrepresentation is noted, we do not guarantee representation and we aim at maintaining our files as clear and representation accurate as possible.

Nothing contained herein transfers ownership of any intellectual property rights.

3. Free Software

The Products are provided free of charge as a public benefit for education, experimentation, and other single use.

The Company has no obligation to:

  • provide maintenance;
  • provide updates;
  • correct defects;
  • provide technical support;
  • be responsible for failures, bugs and other errors or omissions;
  • have any design, technical nor professional liability of the use of these tools;
  • continue offering any Product.

Products may be modified or discontinued at any time without notice.

4. Open Source Components

Certain Products may include third-party open-source software.

Such components remain governed by their respective licenses.

Nothing in these Terms supersedes those licenses.

5. Artificial Intelligence

Certain Products may use artificial intelligence, machine learning, neural networks, generative systems, or automated computational processes.

Outputs generated by AI:

  • may contain inaccuracies;
  • may be incomplete;
  • may produce unexpected results;
  • may not be suitable for professional representation;
  • may have bias;
  • may be incomplete, omissions, misrepresentations and other failures;
  • require independent professional verification.

Users remain solely responsible for evaluating all AI-generated outputs before relying upon them.

The Company makes no warranty regarding the accuracy, originality, legality, completeness, or fitness of AI-generated results.

6. Research Products

Many Products represent experimental research.

They should not be interpreted as professional architectural, engineering, legal, planning, environmental, financial, medical, or governmental advice.

Research prototypes are intended for investigation and education only.

7. No Professional Relationship

Accessing this website or downloading any Product does not create:

  • a design-client relationship;
  • an architect-client relationship;
  • an engineer-client relationship;
  • a consultant relationship;
  • a fiduciary relationship;
  • a contractual relationship;
  • any professional duty.

Professional services require a separate written agreement.

8. No Professional Advice

Nothing on this website constitutes:

  • architectural advice;
  • engineering advice;
  • legal advice;
  • code compliance review;
  • planning approval;
  • permitting advice;
  • construction documentation;
  • professional certification.

Users must consult appropriately licensed professionals before relying upon any Product.

9. User Responsibilities

Users assume full responsibility for:

  • verifying accuracy;
  • validating computational results;
  • testing software;
  • maintaining backups;
  • cybersecurity;
  • regulatory compliance;
  • professional review;
  • safe implementation.

Users should never rely solely upon computational outputs.

10. Acceptable Use

Users agree not to:

  • violate applicable laws;
  • interfere with website security;
  • reverse engineer protected systems where prohibited;
  • distribute malware;
  • upload malicious code;
  • attempt unauthorized access;
  • misuse APIs;
  • impersonate others;
  • infringe intellectual property.

Violation may result in termination of access.

11. Digital Fabrication

Digital fabrication files, robotic fabrication workflows, fabrication scripts, CNC files, robotic toolpaths, additive manufacturing files, fabrication drawings, or machine instructions are experimental.

The Company makes no representation that any fabrication process is safe, accurate, manufacturable, code-compliant, or suitable for production.

Users assume all risks associated with fabrication.

12. Architectural and Engineering Use

Products are not construction documents.

They are not certified for permitting.

They are not sealed by licensed professionals unless expressly stated.

They are not suitable for direct construction without independent review.

13. No Warranty

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ALL PRODUCTS ARE PROVIDED "AS IS" AND "AS AVAILABLE."

THE COMPANY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF:

  • MERCHANTABILITY;
  • FITNESS FOR A PARTICULAR PURPOSE;
  • NON-INFRINGEMENT;
  • TITLE;
  • ACCURACY;
  • RELIABILITY;
  • SECURITY;
  • AVAILABILITY;
  • PERFORMANCE.

THE COMPANY DOES NOT WARRANT THAT PRODUCTS WILL BE ERROR-FREE OR UNINTERRUPTED.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED UNDER THE LAWS OF THE STATE OF BUENOS AIRES, NEW YORK or any representation location wherein:

THE COMPANY SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING:

  • LOSS OF PROFITS;
  • LOSS OF BUSINESS;
  • LOSS OF DATA;
  • BUSINESS INTERRUPTION;
  • COMPUTER FAILURE;
  • CYBERSECURITY INCIDENTS;
  • PROPERTY DAMAGE;
  • PERSONAL INJURY;
  • ECONOMIC LOSS;
  • REPUTATIONAL LOSS.

THIS LIMITATION APPLIES REGARDLESS OF THE THEORY OF LIABILITY, INCLUDING CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE, EVEN IF THE COMPANY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IF LIABILITY CANNOT BE EXCLUDED, THE COMPANY'S TOTAL LIABILITY SHALL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US $100).

15. High-Risk Activities

Products are not intended for:

  • structural engineering certification;
  • life-safety systems;
  • aviation;
  • transportation control;
  • medical devices;
  • nuclear facilities;
  • emergency response systems;
  • military applications;
  • critical infrastructure.

Use in such applications is entirely at the user's own risk.

16. User Content

If users submit comments, files, models, datasets, or other materials, they grant the Company a worldwide, perpetual, royalty-free license to use, reproduce, modify, publish, and distribute such submissions for research, educational, and commercial purposes unless otherwise agreed in writing.

Users represent that they own or have the necessary rights to any submitted materials.

17. Indemnification

Users agree to defend, indemnify, and hold harmless e-Architects, DLO LLC, their principals, employees, consultants, affiliates, successors, licensors, and agents from any claims, damages, liabilities, judgments, losses, expenses, or attorneys' fees arising from:

  • use of the Products;
  • misuse of the Products;
  • violation of these Terms;
  • infringement of third-party rights.

18. Privacy

Use of the website is also governed by the Company's Privacy Policy.

Users should review that policy before using the Products.

19. Copyright Policy

The Company respects intellectual property rights.

Copyright complaints may be submitted pursuant to applicable law.

Unauthorized copying or redistribution of proprietary content is prohibited.

20. Export Compliance

Users agree to comply with all applicable United States export control laws and regulations.

Products may not be exported or used in jurisdictions prohibited by applicable law.

21. Governing Law

These Terms shall be governed exclusively by the laws of the State of New York without regard to conflict-of-law principles.

22. Jurisdiction

Any dispute arising from these Terms shall be brought exclusively in the state or federal courts located in Buenos Aires, Argentina or for DLO LLC New York County, New York.

Users irrevocably consent to the jurisdiction of those courts.

23. Severability

If any provision of these Terms is found unenforceable, the remaining provisions shall remain in full force and effect.

24. Entire Agreement

These Terms constitute the entire agreement between the Company and users regarding the Products and supersede all prior communications relating to their use.

25. Changes

The Company may revise these Terms at any time without prior notice.

Continued use of the Products constitutes acceptance of the revised Terms.
